Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 10, 2022, Peter Jameson was appointed chief operating officer of Vuzix Corporation (the "Company"). Mr. Jameson will receive an annual salary of $425,000. Mr. Jameson, 60, was general manager of the Company from January 2021 until his appointment as the Company's chief operating officer. Mr. Jameson was self-employed as a management consultant from June 2019 to January 2021, and was chief operating officer of Osterhout Design Group from June 2012 to November 2018.




Item 8.01 Other Events.

On January 11, 2022, the Company issued a press release regarding the appointment of Mr. Jameson as the Company's chief operating officer. A copy of the press release is attached as Exhibit 99.1 hereto.
