Spin-off of strategic assets of UNIPETROL DOPRAVA, s.r.o. to UNIPETROL RPA, s.r.o.

UNIPETROL, a.s. ("Unipetrol") informs that on 22 May 2015 the transaction of spin-off of certain assets from UNIPETROL DOPRAVA, s.r.o. ("UNIDO") was approved by the general meetings of UNIPETROL RPA, s.r.o. ("UNI RPA") and UNIDO. Spin-off of strategic assets in net book value of CZK 408 m (almost all non-current assets with exception of locomotives and wagons) and their subsequent transfer into UNI RPA is in line with strategy of Unipetrol Group and its reorganization aiming to further improve operational excellence. In particular, UNI RPA will focus on management and upkeep of the strategic operational infrastructure while UNIDO will be concentrated on transportation services. Therefore activities in both companies will be fully adjusted based on their key strategic targets. The transfer of respective assets will be realized on a cash-free basis according to Act. no. 125/2008 Coll., Transformation of Commercial Companies and Cooperatives Act, as amended ("Transformation Act"). Shares of both shareholders in UNIDO, i.e. UNI RPA (805/806 share) and UNIPETROL, a.s. (1/806 share), stay unaffected. Furthermore, the spin-off will neither result into change of registered capital nor change of founding documents of any of the participating companies. The spin-off will be realized with the decisive date 1 January 2015.
