The Company was approved to issue 16,000 thousand to 20,000 thousand new common shares to participate in 16,000 thousand to 20,000 thousand units of GDR issuance, representing approximately US$320,000 thousand to US$400,000 thousand, for subsidiaries to expand plants and acquire machinery and equipment as well as for funding need of the Company's future development (including but not limited to the procurement of raw materials overseas) by the Financial Supervisory Commission, Executive Yuan with approved document number of 1000050218 on 2011/10/27. The Company was also approved to issue 7,600 thousand to 9,500 thousand existing common shares of TPK held by Balda Investments Singapore Pte. Ltd. (the "Selling Shareholder") to participate in 7,600 thousand to 9,500 thousand units of GDR issuance, representing approximately US$152,000 thousand to US$190,000 thousand, to satisfy the Selling Shareholder's funding needs by the Financial Supervisory Commission, Executive Yuan with approved document number of 10000502181 on 2011/10/27.

Due to the significant volatility of domestic and international financial markets resulting from European debt crisis, stock market is not performing well. In order to protect the benefits of shareholders and investors, the Company would revoke the previous approved applications to issue new common shares to be offered in the form of GDR and to issue existing common shares to be offered in the form of GDR.
