In pursuant to the Board of Directors' Meeting of The ONE Enterprise Public Company Limited dated February 23, 2022, the Board has approved the 2 acquisition of assets and connected transactions namely; 1) the renewal of the office building rental contract and service fee between the Company and subsidiaries with Geurt Fah Co. Ltd. ("Geurt Fah") and 2) the renewal of the building (Studios) rental contract and service fee between ONE31 Co. Ltd. with Geurt Fah.

These 2 transactions are classified as acquisition of assets and connected transactions, as follows: The Company and subsidiaries will enter into the office building renewal contract and service fee with Geurt Fah. Transaction Date: Commencing from May 1, 2022 to April 30, 2025. The Company and subsidiaries will enter into the office building renewal contract with Geurt Fah, detail of which is as follows: 43-storey building located at 50 Sukhumvit 21 (Asoke), Khlongtoeinuea, Wattana, Bangkok 10110.

Size of Rental Space: Approximately 14,630.04 square metres or 38% of total rental space. Contract Tenure: The lease term is 3 years and the lessee has the right to renew the contract for another 3 years each time. The ONE31 Co.

Ltd. will enter into the Building (Studio) renewal contract and service fee with Geurt Fah. Transaction Date: Commencing from December 1, 2021 to November 30, 2024. Office Building Information: 4-storey building (Studio) located at 50 Sukhumvit 21 (Asoke), Khlongtoeinuea, Wattana, Bangkok 10110.

Size of Rental Space: Approximately 2,449.91 square metres or 85.75% of total rental space. Contract Tenure: The lease term is 3 years and the lessee has the right to renew the contract for another 3 years each time.
