Ma Pun Sai Betsy entered into the sale and purchase agreement to acquire 70% stake in Huai Ji Luck Mountain Funeral Tarlor Limited from Sunny Side Up Culture Holdings Limited for HKD 3.8 million.

Ma Pun Sai Betsy entered into the sale and purchase agreement to acquire 70% stake in Huai Ji Luck Mountain Funeral Tarlor Limited from Sunny Side Up Culture Holdings Limited (SEHK:8082) for HKD 3.8 million on July 12, 2024. Upon completion, Huai Ji Luck Mountain Funeral will cease to be a subsidiary of Sunny Side Up Culture. As of May 31, 2024, Huai Ji Luck Mountain Funeral Tarlor Limited reported total common equity of HKD 2.1 million.

The proceeds from the disposal will be used for other investment opportunities that may be presented to Sunny Side Up Culture and/or replenishing the general working capital of Sunny Side Up Culture. The transaction is conditional upon all necessary consents and approvals required to be obtained on the part of the Vendor and Purchaser in respect of the transactions, the representation and warranties set out the Sale and Purchase Agreement remaining true, accurate and complete in all respects and the warranties provided by the Purchaser under the Sale and Purchase Agreement remaining true, accurate and complete in all material respects.
