SPEAR INVESTMENTS I B.V. PRESS RELEASE
AMSTERDAM - 31 January 2023 / SPEAR Investments I B.V. (the Company) announces that the Company's board of directors has resolved not to exercise the Board Non-Extension Right, which accordingly will lapse at the end of 14 February 2023.
As a result, the New Extension Structure will be implemented: (i) the Business Combination Deadline will be extended by the First Extension and the board will be entitled to further extend the Business Combination Deadline pursuant to its Board Extension Right; (ii) the Share Repurchase Arrangement will be revised as contemplated by the Revised Share Repurchase Arrangement and shares tendered for repurchase during the Pre-Extension Repurchase Period will be repurchased in terms of the Revised Share Repurchase Arrangement on 15 February 2023 (further information on timing of payment can be found in our press release on 28 December 2022, as available on our website at www.spearinvestments.com/investor-relations/); and (iii) the amendment of the articles of association of the Company, as contemplated by the New Extension Structure, will become effective.
