Settlement of the proceeding on shareholders' meeting resolution dated 9 June 2016 appealed by certain shareholders

Milan, 8 February 2018 - Following the information released, SNAITECH S.p.A. ("SNAITECH" or "Company" or "Issuer") hereby notifies that on 7 February 2018 signed a settlement agreement ("Settlement Agreement") with Punto Quota Holding S.r.l., Pragma S.r.l. and Zaffiro s.s. shareholders ("Appellant Shareholders" and together with SNAITECH "Parties") on the proceeding filed before the Court of Florence - R.G. no. 13310/2016 - ("Proceeding"). Such Proceeding followed the challenge presented by the Appellant Shareholders on the shareholders' meeting resolution dated 9 June 2016.

Parties opted for an extrajudicial agreement without acknowledging any claim or right of the other Party and agreed to amicably settle any claim of any kind whatsoever, either ongoing or future, related to the Proceeding for the sole purpose not to continue it and to avoid any further costs and the potential appellate decision.

In particular, given the irrevocable waive of the Proceeding by the Appellant Shareholders, Parties shall not claim any rights related to the Proceeding and agree to waive any request or claim of any kind whatsoever, either ongoing or future, even judicial, of pecuniary and/or non-pecuniary nature, contractual and non-contractual, notwithstanding Snaitech contribution to a portion of the legal expenses.
