Deed of merger by way of incorporation into SNAITECH of Società Trenno

Milan, 20 November 2017 - Following the press releases dated 16 December 2016, 19 December 2016, 7 February and 9 February 2017, it is hereby notified the execution of the deed of merger by way of incorporation into SNAITECH S.p.A. ("SNAITECH" or the "Company" or the "Issuer") of the wholly owned subsidiary Società Trenno S.r.l. ("Trenno").

Once the deed is filed with the Companies Register in Milan, the merger will be finalized with effective date on 1 December 2017, whereas any accounting and tax effects start from 1 January 2017.

Since Trenno is wholly owned by SNAITECH and pursuant to art, 2505 c.c. ("Simplified merger procedure"), it is also notified that the shares of Trenno, on the effective date, will be cancelled without any exchange. Therefore, SNAITECH will not change its share capital (without issuing new shares) and will include any assets and liabilities of Trenno, based on their accounting value on the effective date.

The merger is part of the broad group reorganization process, aimed to simplify the organizational structure and better exploit operational, administrative and corporate synergies.
