Filing of the minutes of the Board of Directors related to the merger

Porcari, 28 June 2016 - SNAI S.p.A. ("SNAI" or the "Company") hereby communicates that the minutes of Board of Directors held on 9 June 2016, in the form of public deed, are made available to the public at SNAI premises, on the website www.snaigroup.com under Investor Relations/Documenti_societari/Progetto_di_fusione and on the NIS-Storage website (www.emarketstorage.com). Such minutes related to the Board decision taken in accordance with articles 2502 and 2505, second paragraph of the Italian Civil Code and related to the merger by incorporation in SNAI of the subsidiaries, directly or indirectly owned, Cogemat S.p.A., Cogetech S.p.A., Cogetech Gaming S.r.l. and Azzurro Gaming S.p.A.

The resolution, which approved the plan of merger dated 9 June 2016, has been filed on 28 June 2016 with the Company Register in Lucca. From such date onwards (including holiday periods) any creditor is allowed to make objections according to article 2503 of the Italian Civil Code.
