Mandakini Hospitality Private Limited, Yashaswini Leisure Private Limited and Hanumesh Realtors Private Limited offered to acquire an additional 29.2% stake in Shree Ram Urban Infrastructure, Ltd. (BSE:503205) for INR 1.2 billion in cash on July 23, 2011. Under the terms of the offer, Acquirers will acquire 8.23 million shares of Shree Ram Urban Infrastructure for INR 147 per share. The offer will continue from September 14, 2011, to October 03, 2011. The offer is subject to approval from Reserve Bank of India under the Foreign Exchange Management Act, 1999. If the aggregate of the valid responses to the Offer exceeds 8.23 million shares fully paid up equity shares, then the acquirers shall accept the valid applications received on a proportionate basis. As of January 12, 2012, Hanumesh Realtors Private Limited (Acquirers) made a revised offer to acquire 29.2% stake in Shree Ram Urban Infrastructure, Ltd. for INR 154.65 per share. Revised offer will continue from January 25, 2012 to February 13, 2012. Vishant Naik of Bigshare Services Pvt. Ltd. acted as the registrar to the Acquirers. Deepak Biyani of Aryaman Financial Services Ltd. (BSE: 530245) acted as the financial advisor to the Acquirers. Mandakini Hospitality Private Limited, Yashaswini Leisure Private Limited and Hanumesh Realtors Private Limited completed the acquisition of 2.31% stake in Shree Ram Urban Infrastructure, Ltd. (BSE:503205) for approximately INR 100 million on February 13, 2012. Actual share tendered in the open offer were 0.65 million.
