RingCentral, Inc. (NYSE:RNG) entered into a definitive agreement to acquire Connect First for $40.5 million on January 14, 2019. The total consideration, net of cash acquired, of up to $40.5 million, including up to $4 million in restricted stock units, subject to customary transaction adjustments. The acquisition is expected to close in Q1, 2019, and is estimated to have no material financial impact for the year ending December 31, 2019. Jon Taylor, Matt Burns and Samantha Pjesky of Koenig, Oelsner, Taylor, Schoenfeld & Gaddis PC acted as the legal advisor to Connect First.
