Strategic Review Committee

On January 11, 2021, PolarityTE, Inc. (the "Company") issued a press release titled "PolarityTE Announces Formation of Strategic Review Committee." A copy of the press release is filed herewith as Exhibit 99.1.





Pre-Funded Warrants Exercised

On December 23, 2020, the Company sold pre-funded warrants to purchase 5,238,043 shares of common stock as described in the Company's Form 8-K filed with the Securities and Exchange Commission on December 23, 2020. As of January 8, 2021, all of the pre-funded warrants had been exercised and there were approximately 60,132,822 shares of the Company's common stock outstanding.
