Completion of directed issue of 5,057,188 new shares in Re-Match

Company announcement 2/2023 - Herning, Denmark, 1 March 2023 - Re-Match Holding A/S ("Re-Match" and the "Company”), a pioneer within sustainable recycling of artificial turf, announces that in connection with a directed issue of new shares to Nordic Alpha Partners Fund I K/S and Project Astro Bidco ApS (which is currently wholly owned by Euros Co-Invest (D) AB ("Verdane")), the Company has today issued new shares of a nominal value of DKK 5,057,188 corresponding to 5,057,188 shares of DKK 1 each, representing approx. 17.6% of the registered share capital of the Company prior to the share capital increase and approx. 15% of the share capital following the share capital increase. Reference is made to company announcement no. 1/2023 published earlier today.

The directed issue and share capital increase is carried out pursuant to article 4.1 of the Company’s articles of association against cash consideration by Nordic Alpha Partners Fund I K/S (approx. DKK 5 million) and Verdane, through Project Astro Bidco ApS (approx. DKK 30.4 million) with a subscription price of DKK 7 per share. The shares are allocated with 714,285 shares to Nordic Alpha Partners Fund I K/S and 4,342,903 shares to Project Astro Bidco ApS.

The share capital increase is expected to be registered with the Danish Business Authority within a few day. After registration of the share capital increase, the registered share capital of the Company will amount to nominally DKK 33,808,029 divided into 33,808,029 shares of nominally DKK 1 each. The total number of voting rights in the Company will be 33,808,029.

The new shares are expected to be admitted to trading on Nasdaq First North Premier Growth Market under the permanent ISIN code DK0061553674 as soon as practically possible in March 2023.

After registration of the share capital increase with the Danish Business Authority, an updated version of the Company’s articles of association will be available on the Company’s website.

RE-MATCH HOLDING A / S is a Denmark-based artificial turf recycler. The Company uses its recycling process to return worn-out turf to its original components; plastic fiber, rubber, sand and backing - ready for use in new production cycles. RE-MATCH HOLDING's advanced technology is able to separate all the components in worn-out turf which leads to new, clean products. The Company's patented Re-Match process is based on mechanical separation of the synthetic turf. It cleans the components to a level of purity where the sand, rubber, backing and fiber can be effectively used in new production cycles. The products can be used in e.g., industrial flooring, acoustic barriers or as a supplement in the production of asphalt. RE-MATCH has several subsidiaries, including Re-Match Netherlands BV.
