UPDATE ON PROPOSED SPIN-OFF OF THE GROUP'S MANUFACTURING AND CAD/CAM DISTRIBUTION BUSINESS IN THE PEOPLE'S REPUBLIC OF CHINA

  1. The Board of Directors (the "Board") of Q & M Dental Group (Singapore) Limited (the "Company") refers to its announcements dated 24 April 2015, 17 November 2015, 2 December 2015 and 30 December 2015 and the Notice of Extraordinary General Meeting dated 11 August 2016 (collectively the "Previous Announcements") in relation to the proposed spin-off (the "Proposed Spin-off") of its China manufacturing business conducted through its indirect subsidiary, Qinhuangdao Aidite High Technical Ceramic Co., Ltd ("Aidite"), via a quotation on the National Equities Exchange and Quotations of the People's Republic of China (the "New Third Board").

  2. On 11 August 2016, a circular that contained information on the Proposed Spin-off and the Restructing Exercise was despatched to the shareholders of the Company (the "Shareholders") (the "Spin-off Circular"). As disclosed in the Spin-off Circular, pursuant to paragraph 2.3.2, two of the nominee directors of the Company on the Board of Aidite shall resign after the quotation of Aidite on the New Third Board.

  3. The Board wishes to announce the Dr. Ng Chin Siau, the Group CEO of the Company, has accordingly tendered his resignation as director on the board of Aidite on 30 December 2016 which will take effect upon the official quotation of Aidite on the New Third Board and after a shareholders' meeting has been convened to elect a replacement director.
