Reference is made to The Stock Exchange of Thailand (SET)'s announcement to delist the shares of Premier Enterprise Public Company Limited (the Company) from listed securities on the SET issued on 2 June 2022, as a result of the Company's failure to appoint members of Audit Committee within the specified time. We would like to clarify as follows:

The cause of this problem is due to the court case which remains under the consideration of the Supreme Court as the Company has continuously reported to the SET and the shareholders through the SET since 2016. In such case, the Court of Appeal for Specialized Cases issued its judgment ordering the Company to be jointly liable for the debt of a Joint Venture which is the indirect debt due to the fact that the Joint Venture had remained to have the Company's name included in the name of the Joint Venture. As of the end of the first quarter of 2022, the value of such debt is approximately Baht 1,192 million. Due to the limitation of litigation procedure, the Company is unable to resolve such problem.

Although the Company's shares will no longer be available for trading on the SET following the delisting, the Company remains to be a public company limited being capable of undertaking its business as usual.
