Report topic:Conclusion of the contracts for the provision of medical services to the employees of PGNiG

The Board of Directors of POLMED S.A. with its registered office in Starogard Gdański makes public that on August 11, 2015 the contracts for the provision of medical services were concluded between POLMED SA and the three branches of the Polish Oil and Gas Company with its registered office in Warsaw (hereinafter: the PGNiG). The estimated total value of the contracts is PLN 8,206,000 (eight million two hundred and six thousand Polish zlotys). As a result of their conclusion, the total value of all contracts concluded with the branches of PGNiG (calculated as of the date of submission of the report to the end of their term) amounts to PLN 14,449,000.
The contracts were concluded with the following branches:
1. PGNiG Branch in Zielona Góra - the maximum commitment value of PGNiG amounts to PLN 3,535,879.20, whereas the estimated total value is PLN 4,243,000, concluded for the term from 01.01.2016 to 31.12.2017;
2. PGNiG Branch in Sanok - the contract concluded between the consortium including POLMED SA (as a consortium leader) and Ośrodek Leczniczo-Rehabilitacyjny i Medycyny Pracy "Nafta-Med" Sp. z o.o. with its registered office in Sanok - the maximum commitment value of PGNiG amounts to PLN 3,039,741.60, whereas the estimated total value is PLN 3,648,000, concluded for the term from 01.01.2016 to
31.12.2017.
3. PGNiG Branch in Odolanów - the maximum commitment value of PGNiG amounts to PLN 262,449.60, whereas the estimated total value is PLN 315,000, concluded for the term from 01.01.2016 to 31.12.2017.
The object of the abovementioned contracts is to provide by POLMED S.A. comprehensive medical services to the employees of PGNiG and services in the field of occupational medicine, as well as referring PGNiG employees to prophylactic and therapeutic holiday.

Moreover, the contracts set out an offer for subscription fees for medical services for family members of PGNiG employees and subscriptions for dental services for PGNiG employees and their family members.
Each of the contracts is subject to earlier termination if the amount of remuneration attributable to POLMED SA exceeds the maximum amount payable to POLMED S.A. (indicated separately for each of the contracts mentioned above), while PGNiG may extend the term of the contracts if the total value paid or remuneration payable does not exceed the specified maximum value.
PGNiG shall pay remuneration for the provision of services calculated by multiplying the number of eligible persons that POLMED S.A. was required to provide medical services in a given month and the subscription fee specified by each contract. PGNiG is also required to pay additional compensation for examination of employees referred to prophylactic and therapeutic holiday and examinations of candidates for PGNiG employees. The Board of Directors of POLMED SA estimates the total value of remuneration under the Contracts for the entire period of its validity at PLN 8,206,000, i.e., the sum of the maximum values of the obligations under each contract and the estimated revenues for additional services in the form of subscription fees for medical and dental services for the employees of PGNiG and members of their families.
Other provisions of the Contract shall not differ from those commonly used for this type of contract.
The criterion for admission that the contracts are significant is the fact that their value is PLN
8,206,000, whereas the total estimated value of all contracts signed with PGNiG branches
(calculated as of the date of submission of the report to the end of their term) amounts to PLN
14,449,000, thus exceeds 10% of the equity of the Issuer.
