Item 8.01 Other Events.

On October 30, 2020, Pfizer Inc. ("Pfizer") issued a press release announcing receipt of all required antitrust approvals and other details relating to the anticipated closing of the proposed spin-off of Pfizer's global, primarily off-patent branded and generic established medicines business (the "Upjohn Business") and the subsequent proposed combination of the Upjohn Business with Mylan N.V. A copy of the press release is attached hereto as Exhibit 99.1.
