PCS Edventures!.com, Inc. (OTCPK:PCSV) announced a private placement of 8% convertible promissory note with an accredited investor for gross proceeds of $21,500 on January 11, 2013. The note converts at $0.065 per share and matures on January 11, 2016. Interest on the notes will be paid in arrears by cash within 14 days of each successive quarter end in the months of December, March, June or September.

PCS Edventures!, Inc. is a provider of K-12 Science, Technology, Engineering and Mathematics (STEM) education programs. The Company's customers include schools and school districts from the collegiate to kindergarten level, and providers of out-of-school programming, which include after-school programs, military education programs, home-schooling programs, summer programs, and corporate outreach programs. Its product categories include Enrichment Programs; Discover Series Products; BrickLAB Products; Discover Drones, Add-on Drone Packages, and Ala Carte Drone Items; STEAMventures BUILD Activity Book, and Professional Development Training.
