Explanatory Note:

The Company is filing this Amendment No. 1 on Form 8-K to report that on May 26, 2022, the Company reported the declaration of the Company's quarterly dividend. The record date and payment date of the divided has been added to the 8-K filing as follows:

On May 25, 2022, Ocean Bio-Chem, Inc. (the "Company") the Board of Directors voted and approved the quarterly regular dividend of $0.04 per/share.

Record date the quarterly dividend is June 8, 2022, and payment date is June 23, 2022.
