A notice from ATVP regarding the right of the Republic of Slovenia to vote at the 24th Shareholders´ Meeting of Nova KBM

In accordance with the provisions of the Ljubljana Stock Exchange Rules, the Companies Act (Official Gazette of RS, No. 65/2009, official consolidated text, including amendments and modifications made thereto), and the third paragraph of Article 133, the first and the third paragraph of Article 136 and the first paragraph of Article 344 of the Financial Instruments Market Act (Official Gazette of RS, No. 108/2010, official consolidated text, including amendments and modifications made thereto), Nova KBM, Maribor, hereby gives the following notice:

On 7 June 2013, Nova KBM d.d. received a notice from the Securities Market Agency (ATVP) informing it that the Republic of Slovenia, represented by Slovenska odškodninska družba d.d., had been given consent to exercise voting rights attached to its holding of 109,344,983 Nova KBM shares, trading symbol KBMR, for the voting on resolution proposals Nos. 6.1 and 6.2 of the agenda of the 24th Shareholders´ Meeting of Nova KBM, scheduled for 10:00 am on Monday, 10 June 2013.

On the same day, Nova KBM also received a response from ATVP to the request sent by Slovenska odškodninska družba regarding the proportion of voting rights the Republic of Slovenia is entitled to exercise in respect of resolution proposals not referred to in the aforementioned consent of ATVP. As set out in the notice sent by ATVP, the Republic of Slovenia or, on its behalf, Slovenska odškodninska družba is entitled to exercise voting rights attached to its holding of 98,522,167 KBMR shares, which accounts for 71.58% of the total voting rights in Nova KBM, for voting on all proposals at the 24th Shareholders´ Meeting of Nova KBM. As regards resolution proposals Nos. 6.1 and 6.2, or any counter-proposal to resolution proposals Nos. 6.1 and 6.2, Slovenska odškodninska družba may, on behalf of the Republic of Slovenia, exercise voting rights attached to all 109,344,983 KBMR shares held by the Republic of Slovenia, which accounts for 79.44% of the total voting rights in Nova KBM.
