Pursuant to Article 5.1.6 of the Finance Minister's Regulation of 19 February 2009 on Current and Periodic Reports, the Management Board of MUZA S.A., a company with its registered office in Warsaw (the "Company") hereby announces that on 07 January 2014 it was notified, by Millennium Dom Maklerski S.A., a brokerage house in Warsaw, that between 30 December 2013 and 03 January
2014, Millennium Dom Maklerski S.A. purchased, for its own account, under the provisions of the Share Purchase Brokerage Agreement entered into with the Company and dated 10 July 2012, and acting on its own behalf and at the Company's request, 97 shares in the Company.
The shares were purchased to be resold to the Company in connection with the Company's programme to repurchase its own shares in order to service the executive share options programme as adopted by way of Resolution 7 of the Company's General Meeting of 29 June 2012 and a resolution of the Company's Management Board dated 09 July 2012.
The average purchase price was PLN 3,42 per share.
The nominal value per share is PLN 2.00 and the total nominal value of the shares repurchased between 30 December 2013 and 03 January 2014 is PLN 194,00.The repurchased share represent (0.0034%) of the Company's share capital and carry 97 (0.0029%) voting rights at the Company's General Meeting.
After the shares are repurchased from Millennium Dom Maklerski S.A., between 06.02.2012 (current report 10/2013) and 03.01.2014 (current report 3/2014), the Company will hold a total of 33.231 own shares, representing 1,1652% of the Company's share capital and carrying 33.231 (1,0034%) voting rights at the Company's General Meeting.
Information on the repurchase of the shares from Millennium Dom Maklerski S.A. in accordance with the said agreement will be disclosed by the Company in a separate report.
Muza SA is a Poland-based publishing company. It also runs a readers' club and an Internet bookstore. The Company takes part in national and international book fairs and cooperates with foreign book issuers, translators and editors. Muza SA offers such products as books, albums, atlases, encyclopedias, lexicons, manuals, handbooks, books for children, literature, tourist guidebooks, educational books and books for lawyers. On July 21, 2014, the Regional Court in Warsaw excluded from the register the Company's subsidiary, Polska Grupa Wydawnicza SA.
