NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001

This notice is given by listed investment company, Milton Corporation Limited (Company) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act).

The Company has issued 4,114,776 fully paid ordinary shares (Shares) on 17 August 2017 in accordance with an agreement relating to the acquisition by the Company of all of the shares of an unlisted investment company with total assets of $19.2 million, further to the announcement made to the ASX on 20 July 2017.

The Company confirms that:

1. this notice is provided under paragraph 5(e) of section 708A of the Corporations Act;

2. the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

3. as at the date of this notice, the Company, as a disclosing entity under the Corporations Act, has complied with:

4. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

5. section 674 of the Corporations Act as it applies to the Company; and

6. as at the date of this notice, there is no excluded information to be provided in accordance with section 708A(6)(e) of the Corporations Act.
