          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On December 31, 2019, Dr. Fatih Uckun informed Mateon Therapeutics, Inc. (the "Company") of his intention to resign from his position as the Company's Chief Medical Officer, effective January 6, 2020. The Company's management and Board of Directors thank Dr. Uckun for his contributions over the past year and wish him success in his future endeavors.
