KAMEDA SEIKA CO., LTD. (TSE:2220) signed the basic agreement to acquire Onisi Foods.,Co Ltd. from its president, Yoji Onishi and other 11 shareholders on October 25, 2012. Yoji Onishi holds 58.3% stake in Onisi Foods. KAMEDA SEIKA CO., LTD will acquire 0.6 million shares of Onisi Foods.,Co Ltd. representing 100% stake. After the transaction, Onisi Foods.,Co Ltd will operate as a subsidiary of KAMEDA SEIKA. Onisi Foods reported sales of ¥3.083 billion, net assets of ¥1.32 billion, total assets of ¥2.29 billion and net profit of ¥390 million for the year ended September 2012. KAMEDA SEIKA will sign an agreement for the acquisition by December 2012 and transaction is expected to close by January 2013. Board of Directors' meeting of KAMEDA have passed the resolution regarding acquiring the shares of Onisi Foods.
