Kyto BioPharma Inc. entered into a letter of intent to acquire Barbados Sea Island Cotton Inc. in stock on July 17, 2013. Kyto BioPharma will issue 10 million common shares to the shareholders of Barbados Sea and Barbados Sea satisfying Kyto's outstanding debt on closing. In conjunction with closing the business combination, all of the Directors and Officers of Kyto will resign and will be replaced by nominees of Barbados Sea. The officers of Barbados Sea at closing of the share exchange will be, Jonathan Bryant President &Chief Operating Officer & Director Conrad Wall Vice President Marketing & Sales.

The transaction is subject to due diligence, finalizing a private placement of Convertible Debentures of Barbados Sea for a minimum of $1 million and a maximum of $1.5 million and Barbados Sea completing its financial statements. Closing is anticipated to occur on or before September 30, 2013.

Kyto BioPharma Inc. cancelled the acquisition of Barbados Sea Island Cotton Inc. on September 30, 2013. The transaction was cancelled due to the inability of Barbados Sea Island Cotton Inc. to raise the funds required to proceed.
