On May 9, 2023, Invesco Mortgage Capital Inc. (the "registrant") issued a press
release announcing its financial results for the quarter ended March 31, 2023
(the "Release").

contained in the Release is incorporated into this Item 2.02 by this reference.

Item 8.01   Other Events.


On May 9, 2023, the registrant issued a press release announcing that its book
value per common share as of April 30, 2023 is estimated to be in the range of
$12.00 to $12.48.(1)

(1)Book value per common share is adjusted to exclude a pro rata portion of the
current quarter's common stock dividend (which for purposes of this calculation
is assumed to be the same as the previous quarter) and is calculated as total
equity less the liquidation preference of Series B Preferred Stock ($113.4
million) and Series C Preferred Stock ($195.4 million), divided by total common
shares outstanding of 41.6 million as of April 30, 2023.
