Item 1.01. Entry into a Material Definitive Agreement.
On August 1, 2022, Industrial Human Capital, Inc. (the "Company") and the
Company's sponsor, ShiftPixy Investments, Inc. ("Sponsor") formalized the terms
of a Working Capital Loan Agreement ("Agreement") whereby the Sponsor agrees to
provide capital in the form of a line of credit to the Company in order for the
Company to fund fees and expenses related to its efforts to complete an intended
Initial Business Combination. Funds extended pursuant to the Agreement shall
bear interest on the outstanding principal amount thereof from the applicable
borrowing date at the rate of 5.75% per annum.

of the applicable Agreement, a copy of which is attached to this Current Report
on Form 8-K as Exhibit 10.1.
