Fabio Domenico Vaccarono and Chiara Laudanna resign as Independent Directors of Il

Sole 24 ORE S.p.A.

Milan, 10 November 2022 - Il Sole 24 ORE S.p.A. announces that Fabio Domenico Vaccarono, in light of the partnership disclosed to the market last 3 October and as announced by the Company on 9 November 2022, and by reason of his current role as Chairman and CEO of the Multiversity S.p.A. Group, as well as his current professional commitments in the education business, has resigned today, with immediate effect, as Independent Director of Il Sole 24 ORE S.p.A. and therefore also from his position as Chairman of the Committee for the Observance of the Editorial Mission of the 24 ORE Group.

Mr. Vaccarono had been appointed for the first time as member of the Board of Directors of Il Sole 24 ORE S.p.A. on 1 August 2018. Since 27 April 2022, Fabio Domenico Vaccarono also held the position of Chairman of the Committee for the Observance of the Editorial Mission of the 24 ORE Group.

Il Sole 24 ORE S.p.A. also announces that Ms. Chiara Laudanna, by reason of her new professional commitments outside the 24 ORE Group, which do not allow her to also hold the position of Director of the Company, has resigned today, with immediate effect, as Independent Director of Il Sole 24 ORE S.p.A. and therefore, also from her position as member of the Control, Risk and Related Parties Committee.

Ms. Laudanna had been appointed for the first time on 27 April 2022 as member of the Board of Directors of Il Sole 24 ORE S.p.A., and was also member of the Control, Risk and Related Parties Committee.

Based on the notices made to the Company, Fabio Domenico Vaccarono and Chiara Laudanna do not appear to hold, to date, whether directly and/or indirectly, any ordinary and/or special category shares of the Company.

The Company thanks Mr. Vaccarono and Ms. Laudanna for their valuable contribution ever since their appointment and wishes them both the best of luck in their future endeavours.
