COMPLETION OF PLACING OF NEW SHARES

UNDER GENERAL MANDATE

Placing Agent

Reference is made to the announcements of Global Strategic Group Limited (the "Company") dated 11 September 2018 and 26 September 2018 (the "Announcements") in relation to the Placing. Unless the context requires otherwise, capitalised terms used herein shall have the same meaning as those defined in the Announcements.

COMPLETION OF THE PLACING

The Board is pleased to announce that all the conditions set out in the Placing Agreement have been fulfilled and completion of the Placing (the "Completion") took place on 2 October 2018 in accordance with the terms of the Placing Agreement. An aggregate of 300,000,000 Placing Shares, representing approximately 4.60% of the issued share capital of the Company as at the date of this announcement immediately after Completion, have been successfully placed to not less than six Placees at the Placing Price of HK$0.10 per Placing Share. To the best of the Directors' knowledge, information and belief, having made all reasonable enquiries, the Placees and their ultimate beneficial owner(s) are Independent Third Parties.

The net proceeds, after deduction of all relevant expenses (including but not limited to placing commission, legal expenses and disbursements) incidental to the Placing of approximately HK$1.1 million, are estimated to be approximately HK$28.9 million. The Company intends to apply the net proceeds from the Placing as to approximately HK$12 million for the expansion and development of commodities trading business and as to approximately HK$16.9 million as general working capital of the Group.
