2.Type and monetary amount of original dividend distribution:
(1)Cash Dividends:NT$257,081,107 (NT$0.6 per share)
(2)Stock Dividend:12,854,056 common shares (30 shares per 1000 shares)
3.Type and monetary amount of dividend distribution after the change:
(1)Cash Dividends:NT$257,081,107 (NT$0.599937 per share)
(2)Stock Dividend:12,854,056 common shares (29.99686 shares per 1000 shares)
4.Reason for the change:
Converting the company convertible bonds
made the Company's total outstanding shares changed.
The current outstanding shares of the Company are 428,513,382 shares.
Based on the shareholding percentage recorded on the shareholder book
on the ex-dividend record date, each common shareholder will be entitled
to receive NT$0.599937per-share as cash dividends and
29.99686 shares per 1000 shares as stock dividends.
According to the genernal shareholders meeting on 2022/06/24,
and the Board of Directors meeting on 2022/07/06,
the Chairman has been authorized to adjust the cash and stock dividends.
5.Any other matters that need to be specified:
(1)Estimate payment date：2022/09/28.
(2)The Cash dividend payment affairs will be designated Taiwan International
Securities Corp., the Company's stocks agent, to execute. The payment
shall be made by remittance or registered mail with non-endorsable and
non-transferable check. Any dividend payable is or less than NT$ 30 shall
be requested to bring related documents and his/her authorized signature
or mail them to the Company stock agent to receive his/her dividends.
Each Cash dividends shall be rounded off to dollar and the remittance or
postage fees shall be paid by each shareholder. Dividends under a dollor
will be transfer to other income of the company.
(3)According to the Terms and Conditions of the FFG 5th CB and the
the FFG 6th CB,during the period of 2022/7/21 till 2022/8/15,
the Company will cease the CB's conversion registration.
