OVERSEAS REGULATORY ANNOUNCEMENT

This announcement is made pursuant to Rule 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

Fuguiniao Co., Ltd. (the "Company") noticed that on 13 May 2019 國泰君安證券股份有限 公司 Guotai Junan Securities Co., Ltd. ("Guotai Junan"), the trustee of the domestic corporate bonds in the total principal amount of not more than RMB800 million issued by the Company in the People's Republic of China (the "Bonds") published the "Interim Report of Trustee Management of Guotai Junan Securities Co., Ltd. on the Second Creditors' Meeting of Fuguiniao Co., Ltd." (the "Report") on the website of the Shanghai Stock Exchange.

Guotai Junan reported on the matters regarding the Second Creditors' Meeting in the Report. On 9 May 2019, the Company's Administrator issued the "Notice on the Second Creditors' Meeting and the Briefing Meeting" through the National Enterprise Bankruptcy Information Network of the Supreme People's Court. The Second Creditors' Meeting shall be held in written form. The creditors shall submit the vote to the Administrator before 24 May 2019, and the vote shall be counted by the Administrator under the supervision of the designated scrutineer appointed by the Quanzhou Intermediate People's Court or all members of the creditors' committee and the creditors who participate the meeting voluntarily.
