Dear Sirs,

In furtherance to our captioned letter, we hereby inform that the Company has received an intimation from HT Digital Streams Limited (HTDS), which is a material unlisted wholly owned subsidiary, regarding completion of process of buy-back of equity shares of HTDS.

In accordance with the terms & conditions of the aforesaid buy-back, 23,05,476 nos. fully paid- up equity shares of Rs. 10/- each of HTDS held by the Company has been bought back by HTDS at a buy-back price of Rs. 86.75 per equity share aggregating to Rs. 20,00,00,043/-.
