Subject: Non-applicability of Corporate Governance Provisions as per SEBI

(Listing Obligations and Disclosure Requirements) Regulation, 2015

We hereby inform that as per Regulation 15 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, compliance with the corporate governance provisions as specified in regulations 17, [17A], 18, 19, 20, 21, 22, 23, 24, [24A], 25, 26, and 27 are not applicable to the Companies mentioned below:

1. Companies having Paid up Equity Share Capital not exceeding Rs. 10 Crore and Net worth not exceeding Rs. 25 Crore, as on the last day of the previous Financial Year;
2. The Company which has listed its specified securities on the SME Exchange.

The Paid up Equity Capital of the Company is Rs. 7.43 Crore and Net worth of the Company is Rs. 7.14 Crore as on 31st March, 2023.

Accordingly it may be noted that the Paid up Equity Capital of the Company is below Rs. 10 Crore and Net worth of the Company is not exceeding Rs. 25 Crore, as on 31st March, 2023 and hence Corporate Governance Provisions are not applicable to the Company for the quarter ended on 31st March, 2024.
