Clean Industry Solutions Holding Europe: Information on the warrants of series TO 1

Clean Industry Solutions Holding Europe AB (publ) ("Clean Industry Solutions" or the "Company") announces that the subscription price for the warrants of series TO 1, which were issued during 2022, has been set at SEK 0.73 per share. Holders of warrants of series TO 1 should note that the subscription price exceeds the current market price. 

In order to generate resources for business development and growth, and because it was uncertain whether the warrants of series TO 1 would provide additional proceeds, Clean Industry Solutions conducted a rights issue, which was announced by press release on 31 August 2023 (the "Rights Issue"). Through the Rights Issue, Clean Industry Solutions received approximately SEK 14 million before deduction of issue costs. In connection with the Rights Issue, Öhrlings PricewaterhouseCoopers AB, on behalf of Clean Industry Solutions, in accordance with the full terms and conditions of warrants of series TO 1, conducted a recalculation of the exercise conditions.

Recalculation of warrants of series TO 1
The recalculation was made both to the range for the subscription price when subscribing for shares through the use of warrants of series TO 1 and to the number of shares each warrant of series TO 1 entitles to. Based on the applied adjustment principles according to the terms and conditions of warrants of series TO 1, the recalculated minimum subscription price amounts to SEK 0.73 (previously SEK 1.00) and the recalculated maximum subscription price amounts to SEK 2.19 (previously SEK 3.00). The recalculated number of shares each warrant of series TO 1 entitles to subscribe for amounts to 1.37 shares (previously 1.00).

Summary of terms for warrants of series TO 1
·    One (1) warrant of series TO 1 entitles to the subscription of 1.37 shares, with rounding down if necessary.
·    The subscription price amounts to SEK 0.73 per newly issued share.
·    Subscription of shares through the use of warrants of series TO 1 can take place during the period 26 October - 9 November 2023.
·    The last trading day for warrants of series TO 1 is 7 November 2023.
·    Holders of warrants of series TO 1 should note that the subscription price exceeds the current market price.
