To receive and consider the audited consolidated financial statements of the Company and the

reports of the directors (the "Directors") and the auditors (the "Auditors") of the Company

for the year ended 31 December 2023.

2.

To declare the final dividend for the year ended 31 December 2023.

3.

(A)

To re-elect Ms. Zhong Yan as a non-executive Director;

(B)

To re-elect Mr. Liu Wuwei as an executive Director; and

(C)

To authorise the board of Directors (the "Board") to fix their remuneration.

4.

To re-appoint KPMG as the Auditors and to authorise the Board to fix their remuneration.

5.

To give a general mandate to the Directors to allot, issue and deal with additional shares of the

Company not exceeding 20% of the total number of issued shares of the Company as at the date

of passing of this resolution as set out in item 5 of the Notice of AGM.

6.

To give a general mandate to the Directors to repurchase shares of the Company not exceeding

5% of the total number of issued shares of the Company as at the date of passing of this

resolution as set out in item 6 of the Notice of AGM.

7.

To extend the general mandate granted pursuant to Resolution 5 by the addition thereto of an

amount representing the aggregate number of shares repurchased by the Company under the

authority granted pursuant to Resolution 6 as set out in item 7 of the Notice of AGM.

  5. If there are joint holders of any share, only one needs to sign. Any one of the joint holders may vote at the meeting, either personally or by proxy as if he was solely entitled thereto. But if more than one joint holder are present, either personally or by proxy, only the vote of the senior holder will be counted. For this purpose, seniority will be determined by the order in which the names stand in the register of members of the Company in respect of the joint holding.
  6. If the shareholder is a corporation, this form must be executed either under its common seal or under the hand of an officer or attorney or other person duly authorised in writing.
  7. In order to be valid, this proxy form must be duly completed and signed and deposited together with a power of attorney or other authority (if any) under which it is signed, or a notarially certified copy of such power or authority, with the Company's share registrar, Tricor Tengis Limited at 17/F., Far East Finance Centre, 16 Harcourt Road, Hong Kong as soon as possible and, in any event not less than 48 hours before the time appointed for the meeting (i.e. before 27 May 2024 (Monday), 3:00 p.m. (Hong Kong time)) or any adjournment thereof (as the case may be).
  8. Any alteration to this form must be initialled by the person who signs it.
  9. A proxy need not be a shareholder of the Company.
