PROFIT WARNING

This announcement is made pursuant to Rule 17.10 of the Rule Governing the Listing Securities on the Growth Enterprise Market (the "GEM") of The Stock Exchange of Hong Kong Limited (the "GEM Listing Rules") and the Inside Information Provisions (as defined in the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571, Laws of Hong Kong) (the "SFO").

The board of directors (the "Board") of China Technology Solar Power Holdings Limited (the "Company" and together with its subsidiaries, the "Group") wishes to inform the shareholders of the Company and potential investors that, based on information currently available, the Group is expected to record a net loss attributable to owners of the Company for the nine months ended 31 December 2015 while the Group recorded a net profit attributable to owners of the Company of approximately HK$0.3 million for the six months ended 30 September 2015. The net loss attributable to owners of the Company for the nine months ended 31 December 2015 was mainly due to (i) the amortization of intangible assets of approximately HK$4.3 million during the three months ended 31 December 2015 and (ii) the loss arising from the change in fair value of financial assets at fair value through profit or loss of approximately HK$0.7 million during the three months ended 31 December 2015.

The information contained in this announcement is only based on the preliminary assessment by the management of the Company of the unaudited consolidated management accounts of the Group for the nine months ended 31 December 2015 and is not based on any figure or information which has been audited or reviewed by the Company's auditors.

The Company is in the process of finalising the third quarterly results of the Group for the nine months ended 31 December 2015. Details of the Group's financial information and performance will be disclosed when the Group's third quarterly results for the nine months ended 31 December 2015 are announced.
