The Board of Directors of China Energy Limited (the
"Company") wishes to announce that Mr Zhang Lizheng has been
promoted as the General Manager of Linyi Jiuxin Energy Co.,
Ltd. ("Jiuxin") and Jiutai Energy Technology Co., Ltd.
("Jiutai Energy") with effect from 29 February
2012.
Mr Zhang was appointed as the Acting General Manager of
Jiuxin and Jiutai Energy in February
2010, where he oversees their overall operation and
management. Mr Zhang started his career with our Group in
December 2005 as an Internal Compliance Manager. From
November 2007 to February 2010, he was the Deputy General
Manager of the Group's Finance Centre.
The detailed announcement pursuant to Rule 704(7) of the
Listing Manual of the Singapore
Exchange Securities Trading Limited ("SGX-ST") will be
released separately.
The Board of Directors of the Company also wishes to announce the change of legal representatives of the following principal wholly-owned subsidiaries of the Group pursuant to Rule 704(11) of the Listing Manual of the SGX-ST with effect from 29 February 2012:-

Mr Cui Lianguo is currently the Executive Chairman of the
Board and Chief Executive Officer ("CEO") of the Group, while
Mr Zhang Lizheng, Mr Zhang Hongxin and Mr Liu Yuanhua are the
General Managers of Jiutai Energy and Jiuxin, Jiutai Energy
(Zhangjiagang) Co., Ltd. and Jiutai Energy (Guangzhou) Co.,
Ltd. respectively.
The Board of Directors of the Company has decided that the
General Managers of the above principal wholly-owned
subsidiaries of the Group should also assume the role of
legal representative instead of the Executive Chairman and
CEO of the Group. According to the articles of association of
the respective principal wholly-owned subsidiaries, the legal
representative must concurrently assume the role of the
Chairman of the Board of the respective principal
wholly-owned subsidiaries of the Group.
