The Board announces that Mr. Chau Sai Ho, Charles has been appointed as Executive Director of the Company with effect from 15 February 2016.
The board (the "Board") of directors (the "Directors") of China 3D Digital Entertainment Limited (the "Company", together with its subsidiaries, the "Group") is pleased to announce that Mr. Chau Sai Ho, Charles ("Mr. Chau") has been appointed as Executive Director with effect from 15 February 2016.
Mr. Chau, aged 36, joined the Company in February 2016. Mr. Chau holds a Bachelor of Arts from University of Toronto, Canada. Mr. Chau was credit risk officer at The Royal Bank of Scotland's private banking division, assisted to manage onshore and offshore client assets in excess of 10 billion Hong Kong dollar. Mr. Chau has over 15 years of extensive experience in finance and real estate; he was project manager of boutique hotel TUVE in Hong Kong, in charge of tender and builder's work. Prior joining the Company, Mr. Chau was Head of Investor Relations at International Standard Resources Holdings Limited (stock code: 91), a company listed on the Main Board of The Stock Exchange of Hong Kong Limited with primary business focus on natural gas exploitation and production in Anhui, China.
Mr. Chau does not have any interest or short position (both within the meaning of Part XV of the Securities and Futures Ordinance ("SFO")) in the shares, underlying shares or debentures of the Company or any of its associated corporation (as defined under Part XV of the SFO) as at the date of this announcement. Mr. Chau does not hold any directorship in other listed companies, the securities of which are listed on any securities market in Hong Kong or overseas in the last three years. Save as disclosed above, he does not hold any other positions with the Company or other subsidiaries of the Company and he does not have any relationship with any Directors, senior
management or substantial shareholders or controlling shareholders (as defined in the Rules Governing the Listing of Securities on the Growth Enterprise Market of the Stock Exchange ("GEM Listing Rules")) of the Company.
Pursuant to the appointment with Mr. Chau, his initial term of service shall be two years commencing from 15 February 2016 and renewable automatically for successive terms of one year thereafter unless terminated three months' notice in writing served by either party. Mr. Chau shall be entitled to receive a director's fee of HK$60,000 per month which is determined by the Board by reference to the duties and responsibilities undertaken by him as a director of the Company. In accordance with the bye-laws of the Company, Mr. Chau will hold office until the next annual general meeting of the Company and will then be eligible for re-election; thereafter he will be subject to retirement by rotation at least once every three years at the annual general meetings of the Company since his last re-election.
The Board is not aware of any other information in relation to Mr. Chau that is required to be disclosed pursuant to rule 17.50 (2) of the GEM Listing Rules or any other matter that needs to be brought to the attention of shareholders of the Company in relation to Mr. Chau's appointment.
