- Report for the Extraordinary Shareholders' Meeting on April 24th, 26th, and 27th, in accordance with art. 72 of the Issuer's Regulations adopted by CONSOB with Deliberation n. 11971 of May 14, 1999, subsequently modified and integrated (hereafter Issuer's Regulations);
- Report relative to points 1 (approval of the Financial Statements for the year ended December 31st 2011, relevant and ensuing resolutions), 2 (nomination of the subject for legal revision of company accounts for the 2012-2020 period), and 3 (presentation of Buongiorno S.p.A.'s Compensation Report and vote regarding the Compensation Politics of Buongiorno S.p.A., Section I of the Compensation Report, in accordance with art. 123-ter of Law n.
58/1998) of the Orders of the Day for the Ordinary Shareholders' Meeting called on April 24 th and 27th 2012, in compliance with art. 125-ter of the Testo Unico della Finanza and art. 84-ter of the Issuer's Regulations;
- Report relative to point 4 of the Orders of the Day for the Ordinary Shareholders' Meeting (Authorization of the buy-back and disposal of treasury shares, relevant and ensuing resolutions), in accordance with art. 73 of the Issuer's Regulations;
- Report on remunerations relative to the administrative body and executives with strategic responsibility of Buongiorno S.p.A., in accordance with art. 123-ter of the Testo Unico della Finanza, and conforming to art. 84- quarter of the Issuer's Regulations and art. 6 of the Relation relative to the Discipline Code.
