The board of directors of Asian Citrus Holdings Limited announced that Ms. Liu Jie has been appointed as an independent non-executive director of the Company with effect from 11 July 2022. Ms. Liu Jie, aged 41, obtained a bachelor's degree in international finance from Hunan University in the People's Republic of China (the "PRC") in 2003 and further obtained a master's degree in business administration from Southwest University in the PRC in 2012. She has been in the banking industry for over 14 years before joining Mingya Insurance Brokers Co.

Ltd. in 2019. Mingya is a company principally engaged in insurance brokerage services in the PRC and Ms. Liu is currently the senior partner of Mingya. Ms. Liu has entered into a letter of appointment with the Company pursuant to which she agreed to act as an independent non-executive director for a term of 3 years commencing from 11 July 2022.

However, she will be subject to rotational retirement and re-election requirements at annual general meetings pursuant to the bye-laws of the Company. Pursuant to the letter of appointment, she is entitled to a director's fee of HKD 120,000 per annum. The emoluments of Ms. Liu have been reviewed by the remuneration committee of the Company and determined by the Board after taking into account the prevailing market situation and her duties and responsibilities within the Company.
