Dear Counsel,
I write in response to the plaintiffs' proposal for handling the public filing of stockholder objections.1 Thank you for your thoughtful consideration of both the privacy interests of individual retail stockholders, and the Court's mandate of public access.
I wish to say out loud two truisms about your proposal that perhaps went unsaid. The Court and the Special Master will receive and consider each and every objection submitted under seal-even those that are not included in the

representative public filing. The representative public filings are meant to allow the public to understand the inputs into the Court's ultimate decision on the settlement.
On those grounds, the plaintiffs' proposal is approved and may be implemented subject to Court of Chancery Rule 5.1. The Court's hard drive will ultimately be lodged with the Register in Chancery as part of the record of this proceeding.
