The Management Board of Zespó? Elektrociep?owni Wroc?awskich KOGENERACJA S.A. hereby informs that, considering resignation of the Supervisory Board member (of which the Issuer informed in the Current Report 34/2012), on 22 January 2013 Extraordinary General Assembly (Resolution 3/2013, Current Report
1/2013) appointed the following new member to the Supervisory Board of KOGENERACJA S.A.: Mr Ryadh
BOUDJEMADI.
Mr Ryadh BOUDJEMADI,
46, PhD in liquids mechanics and heat exchange at the Université Paris XI, DEA diploma in liquids dynamics and heat exchange at Ecole Polytechnique in Paris and Université d'Orsay, a graduate of Ecole Polytechnique in Algiers (an engineer's diploma).
In 1996-1997, the ALTRAN Technologies project engineer, managing projects for EDF Research and Development Department; in 1997-1999, Technical Director in CONSORT Technologies; 1999-2000, Commercial Director in NUMECA France. Since 2000, EDF Research and Development Department: 2000-
2002 - Project Manager "Modelling and Optimisation of Electrical Systems"; 2003-2005 - Department Manager "Middle-term production management in interaction with markets"; 2005-2012 - Department Director "Group financial risk control"; since 2012, Finance Director for Continental Europe.
The Supervisory Board member appointed on 22 January 2013:
- does not run a business competitive to KOGENERACJA S.A.,
- does not participate in competitor companies as a partner in companies, partnerships or as a

member of a body of a capital company or another competitive legal entity as a member of its

organ,

- is not listed in the Register of Insolvent Debtors maintained on the basis of the act on National Court
Register.

Legal basis: Article 56 item 1 section 2 of the Act on the offer § 5 item1 section 22 of the Ministry of Finance Ordinance of 19 February 2009 regarding current and periodical information submitted by issuers of securities and the conditions for approving as equivalent information required by the law of a non-member state.
