NOTICE TO THE MARKET

VIA VAREJO S.A. ("Company"), in accordance with article 12 of CVM Ruling nº 358/02, as amended, hereby informs its shareholders and the market in general that on January 05th, 2018 received a letter from the shareholder TWINSK FUNDO DE INVESTIMENTO MULTIMERCADO CRÉDITO PRIVADO - INVESTIMENTO NO EXTERIOR ("TwinsK Fund") informing about the partial spin-off of its assets ("Notice").

Through the reported partial spin-off, 100% (one hundred percent) of the Company's shares held by the TwinsK Fund, equivalent to 40,033,479 (forty million, thirty-three thousand, four hundred and seventy-nine) of Certificates of Deposit Shares (VVAR11) ("Units") and 12 (twelve) preferred shares (VVAR4) ("Transaction") were transferred to TWINSF FUNDO DE INVESTIMENTO MULTIMERCADO CRÉDITO PRIVADO - INVESTIMENTO NO EXTERIOR ("Fundo TwinsF").

As informed in the Notice, the spin-off operation aims "a reorganization of its stake in the Company, without changing its final beneficiary". It was also pointed out that the Transaction did not change the the final controlling shareholder or administrative structure of the Company.
