DELAY IN DESPATCH OF THE CIRCULAR IN RELATION TO MAJOR TRANSACTION - ACQUISITION AND SUBSCRIPTION OF EQUITY INTERESTS IN CSI COMPANY

Reference is made to the announcement of Overseas Chinese Town (Asia) Holdings Limited (the "Company") dated 18 December 2015 (the "Announcement") in relation to, among other things, a major transaction in respect of the acquisition and subscription of equity interests in CSI Company, and the announcement of the Company dated 11 January 2016 in relation to the delay in dispatch of the circular. Unless otherwise stated, capitalised terms used herewith shall have the same meanings as ascribed thereto in the Announcement.

As disclosed in the announcement of the Company dated 11 January 2016, the Company has applied to the Stock Exchange for a waiver from strict compliance with Rule 14.41(a) of the Listing Rules and for an extension of time for the despatch of the circular to the Shareholders to a date on or before

25 January 2016. Such waiver has been granted by the Stock Exchange to the Company on 13 January 2016.
