COMPLETION OF SUBSCRIPTION OF SHARES IN TICON INDUSTRIAL CONNECTION PUBLIC COMPANY LIMITED

Unless otherwise defined, all capitalised terms used herein shall have the same meanings ascribed to them in the 10 October Announcement (as defined herein).

1. INTRODUCTION

   The Board of Directors of Frasers Centrepoint Limited ("FCL") wishes to refer to FCL's announcements of 10 October 2016 (the "10 October Announcement") and 23 December 2016 in relation to the Proposed Transaction.

2. COMPLETION OF SUBSCRIPTION IN THE NEW SHARES

The Board of Directors of FCL wishes to update that FPHT has on 17 January 2017 completed the acquisition of 735,000,000 New Shares at the Subscription Price under the terms and conditions of the Agreement (the "Share Subscription").

Following the Share Subscription and as the date of this Announcement, FPHT holds approximately 40% of the shareholding in TICON and TICON has become an associated company of the Company.
