Regarding the resolution of the Board of Directors' Meeting No. 9/2017 on Thursday,

December 21, 2017, Buriram Sugar Public Company Limited, "the Company" was approved to establish a new subsidiary in consideration of the bagasse packaging project, to hold its shares, as well as authorize the Managing Director to consider, approve and/or any actions which are necessary or beneficial to the Company in relation to preparing for investing in the project.

On January 5, 2018, the Managing Director approved to operate the company registration

within Q1/2018 with details as follows;

Name of new subsidiary	Sugarcane Ecoware Co., Ltd.
Business objectives	To carry on the business of manufacturing consumer packaging products, equipment, and appliance which are made from bagasse and other natural materials, as well as retails and wholesales, importation and exportation of such products.
Establishment date	Q1/2018
Registered and paid-up Capital	5,000,000 Baht (after company registration, the capital will be raised for the bagasse packaging project not exceeding 280 Million Baht.)
Shareholding structure	Buriram Sugar Public Company Limited will hold 99.99% of its shares
Structure of the Board of Directors	1. Mr. Anant Tangtongwechakit Chairman 2. Miss Chittima Tangtrongwechakit Director 3. Mr. Adisak Tangtrongweachakit Director **Relationship between the parties : siblings and related persons
Source of fund	Buriram Sugar Public Company Limited's working capital

*Note: Currently, Sugarcane Ecoware Co., Ltd. has not been operated yet.

The total investment in newly established subsidiary is 280 Million Baht or equivalent to 3.09% of Total Consideration Value Basis of the Company and its subsidiaries, based on the latest approved consolidated financial statements (Q3/2017) as of September 30, 2017, which was reviewed by the auditor.

As the transactions value, combining with all the acquisition of assets occurred during the preceding 6 months (July 2017 - January 5, 2018) totaled 4.83% of Total Consideration Value Basis. However, the total of transaction size is considered not under (1) the criteria specified in the rule concerning acquisition and disposition of material assets. This transaction is not subject to the Notification of the Board of Governors of the Stock Exchange of Thailand Re: Disclosure of Information and Other Acts of Listed Companies Concerning the Acquisition and Disposition of Asset, and (2) it is not subject to Rules, Procedures and Disclosure of Information of the Stock Exchange of Thailand regarding the Connected Transaction of Listed Companies as well.
