Cmoc Group Limited Announces Board and Committee Changes, Effective May 30, 2025

CMOC Group Limited held its third extraordinary meeting of the seventh session of the Board on May 30, 2025, where Mr. Liu Jianfeng, a newly elected executive Director, was elected as the chairman of the Board until the date of the 2026 AGM. The composition of the Board committees was adjusted with effect from May 30, 2025, until the date of the 2026 AGM. The Audit and Risk Committee now comprises Ms. Gu Hongyu (Chairman), Mr. Cheng Gordon, and Mr. Wang Kaiguo.

The Nomination and Governance Committee includes Mr. Wang Kaiguo (Chairman), Mr. Liu Jianfeng (Vice Chairman), Ms. Gu Hongyu, and Mr. Cheng Gordon. The Remuneration Committee consists of Mr. Wang Kaiguo (Chairman), Ms. Gu Hongyu, and Mr. Liu Jianfeng. The Strategic and Sustainability Committee is chaired by Mr. Liu Jianfeng and includes Mr. Sun Ruiwen, Mr. Que Chaoyang, Mr. Lin Jiuxin, Mr. Jiang Li, and Mr. Wang Kaiguo.

The Investment Committee was adjusted to include Mr. Liu Jianfeng (Chairman), Mr. Sun Ruiwen, Mr. Que Chaoyang, Mr. Chen Xingyao, and Mr. Xu Hui. Mr. Chen Xingyao was appointed as the vice president and chief financial officer of the Company with a term until the date of the 2026 AGM. Mr. Chen Xingyao graduated from Beihang University with a master's degree in materials science, obtained an MBA from the School of Economics and Management at Tsinghua University, an EMBA from China Europe International Business School, and is a certified public accountant.

Since 2002, he has held various positions including assistant president of New Hope Investment Co. Ltd., chief financial officer of Shandong New Hope Liuhe Group Co. Ltd., chairman and president of Hope Financial, and vice president and chief financial officer of New Hope Liuhe Co.

Ltd. He joined the Company in April 2025 and currently serves as an independent director and chairperson of the audit committee of JD Health International Inc. He possesses extensive experience in financial system construction and operations, domestic and international capital planning, and industrial sector resource integration.
