ZIGExN Co., Ltd. (TSE:3679) agreed to acquire Alpha Staff Co.,Ltd. from Alpha 1 Group, K.K. for ¥80 million on September 30, 2025. A cash consideration of ¥80 million valued at ¥80 per share will be paid by ZIGExN Co., Ltd. As part of consideration, ¥80 million is paid towards common equity of Alpha Staff Co.,Ltd. The transaction will be financed through equity investment of ¥80 million. For the period ending March 31, 2025, Alpha Staff Co.,Ltd. reported total revenue of ¥1.93 billion, operating loss of ¥53 million and net loss of ¥54 million.
As of March 31, 2025, Alpha Staff Co.,Ltd. reported total assets of ¥1.3 billion and total common equity of ¥135 million. The expected completion of the transaction is November 10, 2025.
