Dear Sir / Madam,

This is to inform you that in order to comply with the Regulation 23(9) of SEBI (LODR) Regulations 2015 read with Regulation 15(2) of SEBI (LODR) Regulations, 2015, the provisions of Corporate Governance is not applicable to the company Northlink Fiscal and Capital Services Limited as paid up capital of the company is not exceeding Rs. 10 Crore and Net Worth is not exceeding Rs. 25 Crore on the basis of available audited financial statements of the company as on the last day of previous financial year i.e. 31st March, 2025.

Therefore, Regulation 23(9) read with Regulation 15(2) of SEBI (LODR) Regulations, 2015, as amended are not applicable to Company.

In view of the above Company is not required to submit 'Disclosure of Related Party Transactions for the half year ended 30.09.2025 as required under Regulation 23(9) of the SEBI (LODR) Regulations, 2015.
