SUBJECT: APPLICABILITY OF REGULATION 23(9) OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 FOR THE QUARTER ENDED ON SEPTEMBER 30, 2025

Pursuant to Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"), the disclosure of Related Party Transactions shall be made half yearly by the Company.

I wish to inform you that while the paid-up equity share capital of Kotia Enterprises Limited remains below Rs. 10 crore, the net worth of the Company as on 31stMarch 2025 has increased to Rs. 38.67 crore. As a result, the exemption from compliance with the Reg 23(9) Related Party Transaction no longer applicable to the Company.

We hereby confirm that we shall comply with the provisions of Regulation 23(9) of SEBI LODR Regulations in its entirety and ensure timely disclosure of related party transactions as required under the applicable laws and regulations.
